These Terms of Service ("Terms") form a binding agreement between you and Ajinkya Meshram, doing business as StatementsPro ("StatementsPro," "we," "us," or "our"), regarding your access to and use of the StatementsPro website, dashboards, document-processing tools, exports, support channels, and any related services, software, features, or content that link to or reference these Terms (collectively, the "Service").
By accessing or using the Service, creating an account, uploading documents, or subscribing to a paid plan, you agree to these Terms and to our Privacy Policy. If you do not agree, you must not use the Service.
If you use the Service on behalf of a company, firm, client, or other organization, you represent that you have authority to bind that organization, and the words "you" and "your" include that organization.
The Service is intended for individuals, businesses, accountants, bookkeepers, finance teams, and other users who need to transform bank-statement data into structured files. You may use the Service only if you can form a legally binding agreement under applicable law.
If you are under the age of majority where you live, you may use the Service only with the involvement and permission of a parent or legal guardian. The Service is not designed specifically for children.
StatementsPro is a subscription-based software service that allows users to upload PDF bank statements and other supported materials, process them through automated extraction workflows, and export resulting data in selected formats. Public feature descriptions currently reference exports such as Excel, CSV, QuickBooks, Xero, and custom formats, as well as free and paid page allowances.
The Service may change over time. We may add, remove, improve, suspend, or discontinue features, integrations, file types, limits, dashboards, reports, or other parts of the Service at any time, including to improve functionality, security, performance, or compliance.
To access some features, you may need to create an account. You agree to provide accurate, current, and complete information and to keep it updated. We may rely on the contact information in your account to provide notices, billing communications, and service messages.
You are responsible for safeguarding your login credentials and for all activities that occur under your account. You must promptly notify us at support@statementspro.com if you suspect unauthorized access, credential compromise, or other security incidents affecting your account.
You retain ownership of the documents, files, and data you upload, submit, transmit, or otherwise make available through the Service ("User Content"), subject to the rights you grant below. You grant StatementsPro a limited, non-exclusive, worldwide, royalty-free license to host, process, transmit, copy, transform, store, and display User Content solely as needed to operate, secure, maintain, support, improve, and provide the Service to you.
You represent and warrant that: (a) you own or control the necessary rights, consents, and permissions for all User Content you upload; (b) uploading and processing that User Content does not violate any contract, law, privacy right, confidentiality duty, bank policy, employment duty, or third-party right; and (c) where you upload documents on behalf of a client, employer, or third party, you are authorized to do so.
You are solely responsible for the legality, integrity, accuracy, and appropriateness of User Content and for verifying that any exports generated by the Service are suitable for your intended use.
StatementsPro is designed to save time and reduce manual entry, but no automated extraction system is perfect in all cases. Layouts, scan quality, bank formatting, language, symbols, handwritten marks, and document condition may affect outputs. You must review and validate results before using them in accounting systems, reconciliations, tax filings, regulatory submissions, books and records, client workpapers, or business decisions.
The Service does not provide legal, tax, accounting, audit, investment, compliance, or financial-advisory services. Nothing in the Service constitutes professional advice, an audit opinion, legal opinion, or a guarantee that any output satisfies the requirements of a regulator, accountant, tax authority, lender, investor, or software platform.
StatementsPro may offer free and paid plans. Current public pricing and plan descriptions are displayed on the Website. As of the Effective Date, public plan information includes Free, Lite, Pro, and Enterprise offerings, but plan names, limits, prices, features, and allowances may change prospectively.
If you enroll in a paid plan, you authorize us and our payment processor to charge the applicable recurring subscription fees, taxes, and any other amounts clearly disclosed to you at checkout or within the Service. Subscription periods may be monthly or otherwise specified at purchase.
Unless stated otherwise at the time of purchase, paid subscriptions renew automatically for successive periods equal to the initial subscription term until canceled. You may cancel at any time through your account settings, billing portal, or by contacting support, but cancellation generally prevents future renewal charges only and does not retroactively cancel the current billing period.
You are responsible for keeping payment information current. If a payment method fails or an invoice remains unpaid, we may retry charges, suspend access, reduce feature availability, or terminate the relevant subscription after reasonable attempts to collect payment.
Because the Service is digital and access is made available promptly after signup or payment, refunds are generally not provided. This position is also reflected in StatementsPro's public commercial disclosure. However, nothing in these Terms limits any non-waivable rights you may have under applicable law.
If you believe the Service was unavailable due to a system error, materially failed to perform as described, or charged you in error, you should contact support@statementspro.com promptly with reasonable details. StatementsPro may, in its discretion and after investigation, issue a refund, partial refund, service credit, extension, or other resolution on a case-by-case basis.
When you cancel a subscription, your paid access typically remains available until the end of the current paid billing period unless we expressly state otherwise. After cancellation or downgrade, certain features, usage limits, stored content, or historical access may change based on the plan you retain.
Displayed prices may exclude or include taxes depending on the applicable region, checkout presentation, and legal requirements. You are responsible for any taxes, duties, levies, or similar governmental charges associated with your purchase, other than taxes based on our net income.
We may change prices, usage allowances, feature bundles, or plan structure at any time on a prospective basis. Unless immediate changes are required for legal, tax, or security reasons, pricing changes for existing recurring subscriptions typically take effect on a future billing cycle after notice through the Website, product interface, email, or billing portal.
You may not use the Service to violate any law, regulation, contractual obligation, or third-party right. Without limitation, you may not: (a) upload content you do not have the right to use; (b) probe, scan, or test vulnerabilities except with our written permission; (c) interfere with the Service or bypass rate limits, access controls, quotas, or usage restrictions; (d) reverse engineer or attempt to derive source code except where applicable law expressly prohibits that restriction; (e) use the Service to build or benchmark a competing service in a misleading or abusive manner; (f) upload malware or harmful code; (g) use automated means to scrape, overload, or disrupt the Service; or (h) use the Service in a manner that could expose us or other users to security, privacy, legal, or reputational harm.
We may monitor use for security, abuse prevention, fraud prevention, dispute handling, service integrity, and compliance with these Terms.
We aim to keep the Service available and useful, but we do not promise uninterrupted or error-free operation. Downtime, latency, integration interruptions, maintenance windows, data-processing delays, feature bugs, and third-party outages can occur.
We may suspend or limit access to all or part of the Service for maintenance, security events, abuse prevention, infrastructure changes, legal compliance, or other operational reasons. We will use commercially reasonable efforts to minimize unnecessary disruption.
The Service may interoperate with or rely on third-party providers, such as payment processors, analytics tools, cloud services, communications providers, accounting platforms, or login tools. Third-party services are governed by the terms and privacy practices of those providers, not by these Terms.
StatementsPro is not responsible for third-party products, websites, integrations, software, content, or downtime, and does not guarantee that any third-party integration will remain available, unchanged, or compatible over time.
StatementsPro and its licensors own the Service, including the Website, software, workflows, branding, visual design, interfaces, text, graphics, code, models, know-how, compiled data (excluding your User Content), and all related intellectual property rights. These Terms do not transfer ownership of the Service or any intellectual property to you.
Subject to your compliance with these Terms, StatementsPro grants you a limited, non-exclusive, non-transferable, non-sublicensable right to access and use the Service for your internal personal or business purposes during the term of your lawful use. You may not copy, resell, frame, mirror, republish, or commercially exploit the Service except as expressly permitted by us in writing.
If you provide suggestions, ideas, enhancement requests, comments, or other feedback about the Service, you grant StatementsPro a worldwide, perpetual, irrevocable, royalty-free license to use, modify, incorporate, publish, and exploit that feedback without restriction or compensation, provided we are not required to identify you by name unless we choose to do so with your consent.
We may suspend, restrict, or terminate your access immediately or on notice if we reasonably believe that: (a) you breached these Terms; (b) your use poses a security, privacy, fraud, or legal risk; (c) payment is overdue; (d) we are required to do so by law or a competent authority; or (e) continued provision of the Service is no longer commercially, technically, or legally feasible.
You may stop using the Service at any time. Termination or suspension does not relieve you of obligations that accrued before termination, including payment obligations. Sections that by their nature should survive termination will survive, including provisions on fees owed, intellectual property, disclaimers, limitations of liability, indemnity, governing law, and dispute resolution.
Our collection and handling of personal data are described in our Privacy Policy. By using the Service, you acknowledge that StatementsPro may collect and use account information, billing details, usage information, support communications, and document-processing data in accordance with the Privacy Policy and as reasonably necessary to operate, secure, and support the Service.
Where you ask us to process documents or data relating to other people or businesses, you are responsible for providing any required notices and obtaining any required permissions or lawful bases for that processing.
We understand that bank statements and financial records may contain sensitive information. Although the Service is built to process such materials, you should use appropriate judgment and upload only what is reasonably necessary for your intended workflow. You remain responsible for redacting or withholding information where required by your own legal, contractual, or professional obligations.
StatementsPro may maintain technical, administrative, and organizational safeguards appropriate to the nature of the Service, but no online service can guarantee absolute security.
To the maximum extent permitted by law, the Service is provided on an "as is" and "as available" basis. StatementsPro disclaims all warranties, whether express, implied, statutory, or otherwise, including any implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, quiet enjoyment, availability, or that the Service will be uninterrupted, error-free, secure, or suitable for your particular workflow.
Without limiting the foregoing, StatementsPro does not warrant that outputs will always be complete, accurate, accepted by any accounting software, free from formatting differences, or appropriate for your legal, accounting, tax, compliance, or audit needs.
To the maximum extent permitted by law, StatementsPro and its operator, affiliates, contractors, licensors, and service providers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, business, goodwill, data, expected savings, or business interruption, arising out of or related to the Service, even if advised of the possibility of such damages.
To the maximum extent permitted by law, the aggregate liability of StatementsPro arising out of or relating to the Service or these Terms will not exceed the greater of: (a) the amount you paid to StatementsPro for the Service during the three months immediately preceding the event giving rise to the claim; or (b) fifty U.S. dollars (USD 50). Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.
You agree to defend, indemnify, and hold harmless StatementsPro, its operator, and related parties from and against claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your User Content; (b) your breach of these Terms; (c) your misuse of the Service; or (d) your violation of any law or third-party right.
You may not use the Service if you are prohibited from receiving the Service under applicable export control, sanctions, or trade laws. You represent that you are not located in, under the control of, or ordinarily resident in a comprehensively embargoed jurisdiction to the extent prohibited by applicable law, and that you are not on any applicable restricted-party list that would make your use unlawful.
StatementsPro may from time to time offer referral programs, promotional credits, trials, beta features, or similar programs. Unless stated otherwise, such programs are optional, may be changed or withdrawn at any time, and may be governed by additional terms, eligibility criteria, and abuse-prevention rules. Promotional credits usually have no cash value and may expire or be revoked for misuse, fraud, or mistake.
These Terms and any dispute arising out of or relating to the Service or these Terms are governed by the laws of Japan, without regard to conflict-of-law rules, except to the extent superseded by mandatory consumer-protection laws that apply to you and cannot legally be waived.
Unless applicable law requires otherwise, you and StatementsPro agree that the courts located in Japan will have exclusive jurisdiction over disputes arising out of or relating to these Terms or the Service. Before filing a formal claim, you agree to contact support@statementspro.com and attempt in good faith to resolve the dispute informally.
We may modify these Terms from time to time. If we make material changes, we may provide notice by updating the Effective Date, posting a notice on the Website or in the Service, or contacting you through your account email. By continuing to use the Service after updated Terms become effective, you agree to the revised Terms. If you do not agree to the revised Terms, you must stop using the Service.
These Terms constitute the entire agreement between you and StatementsPro regarding the Service, except for any additional written terms that expressly apply to a specific feature, enterprise arrangement, or promotional program. If any provision of these Terms is held unenforceable, the remaining provisions will remain in full force to the maximum extent permitted by law.
Our failure to enforce any provision is not a waiver. You may not assign these Terms without our prior written consent. We may assign or transfer these Terms, in whole or in part, as part of a business transfer, sale, reorganization, or by operation of law.
